Terms & Conditions

Applicability

These Terms and Conditions ("Terms") apply to all proposals, purchase orders, invoices, and online purchases issued by or through California Pulse Industrial LLC ("California Pulse," "CP," "we," "us," or "our"). By placing an order, submitting payment, or using our website to make a purchase, you ("Customer," "Buyer," "you") agree to be bound by these Terms in their entirety.

Payment of any amount against a California Pulse invoice or purchase order constitutes Buyer's full acceptance of all terms herein, without requirement of a separate signature. The Terms posted at www.californiapulse.com/terms-and-conditions at the time of your order govern that transaction. California Pulse reserves the right to update these Terms at any time. Please review this page periodically.

1. Proposals and Pricing

All proposals issued by California Pulse are valid for thirty (30) days from the date of the proposal. After 30 days, all pricing will be reassessed for validity and California Pulse reserves the right to reissue revised pricing.

Any changes to the terms, scope, or pricing of a proposal must be made in writing. California Pulse does not recognize oral changes, additions, or deletions to any proposal or agreement. Any requested changes must be submitted to California Pulse in writing and approved by an authorized officer of the company before such changes become part of the proposal or agreement.

All prices are subject to change without notice until a purchase order or deposit is received. Product prices do not include applicable sales tax, freight, or installation unless explicitly stated in the proposal.

2. Payment Terms

Unless otherwise stated in writing on the applicable proposal or invoice, the following default payment terms apply to all California Pulse orders:

  • 50% deposit due to initiate and commence production

  • 50% balance due prior to shipment

Shipment or release of equipment is conditioned upon receipt of the balance payment in full. California Pulse reserves the right to hold completed equipment until all amounts due have been received.

Deposits are non-refundable. Due to the custom nature of California Pulse products, all deposits are non-refundable under any circumstances. If a Buyer cancels an order for any reason after a deposit has been received, Buyer is responsible for all costs incurred by California Pulse to date and California Pulse's anticipated profit on the full order.

Payment of any amount against a California Pulse invoice or purchase order constitutes Buyer's full acceptance of all terms and conditions stated herein.

California Pulse accepts the following payment methods for online purchases: Visa, Mastercard, Discover, and American Express. Credit card details are encrypted and securely processed by California Pulse's payment provider and are not stored by California Pulse.

In the event of a payment dispute, the prevailing party shall be entitled to recover reasonable attorney's fees and costs.

3. Photography Authorization

Buyer authorizes California Pulse and its representatives to photograph and/or video record installed equipment for documentation and promotional purposes. California Pulse may use such images or recordings in marketing materials, on its website, and across its social media channels without additional compensation to Buyer.

4. Governing Law and Venue

These Terms and all transactions governed by them shall be construed in accordance with the laws of the State of California. Venue for any disputes arising out of or related to any purchase, invoice, proposal, or these Terms shall be in the state or federal courts located in San Bernardino County, California.

5. Customer Site Preparation & Responsibilities for Equipment Installation

This section outlines the customer's responsibilities and site preparation requirements for the installation of equipment purchased from California Pulse.

All items listed below must be completed by the customer, at the customer's sole expense, prior to scheduling or commencing installation, unless California Pulse provides written confirmation stating that a specific item is not required.

Failure to complete these requirements may result in installation delays, additional mobilizations, rescheduling fees, or added labor and travel costs, which shall be the responsibility of the customer.

5.1 Permitting

The customer is responsible at its own expense for obtaining all required local, state, and federal permits in connection with the installation and use of proposed equipment, including building, mechanical, electrical, fire marshal, and environmental/air quality (VOC/exhaust) permits. The customer must also coordinate and schedule all required inspections.

5.2 Utilities

The customer shall bring all utilities to the designated tie-in points on California Pulse supplied equipment per approved drawings, including:

  • Electrical power with correct voltage, phase, amperage, and required disconnects

  • Natural gas or propane, including proper pressure

  • Compressed air with correct pressure

  • Drainage, including floor or trench drains if required by booth design

Customer is also responsible for:

  • The removal, relocation, rerouting and/or reconnection and testing of displaced utilities (gas lines, electrical lines, water lines, paint lines, sprinkler system lines, compressed air lines, etc.)

  • The supply of additional gas regulator(s) which may be required to assure proper gas pressure to the attachment point of equipment

  • The supply of additional motor disconnects which might be required by local authorities or unique installation circumstances

5.3 Building & Structural Preparation

The customer is responsible for building readiness, including:

  • Concrete slab with proper thickness, flatness, and load rating

  • Any required cutouts, pits, or recesses

  • Adequate ceiling height and required service/access clearances

  • Site modifications including floor clearing, cleaning, sealing or leveling, and any building reinforcement or structural changes

5.4 Seismic, Structural, and Wind Load Engineering

Unless explicitly stated in California Pulse's proposal or invoice, all equipment is supplied without seismic, structural, load bearing, or wind load engineering, calculations, or certifications of any kind. California Pulse does not provide, and is not responsible for, any structural analysis related to the installation or use of its equipment.

The customer is solely responsible for:

  • Determining whether local, state, or federal codes require seismic, structural, or wind load calculations for the equipment and its installation

  • Engaging a licensed structural or civil engineer to perform any required calculations, stamped drawings, or certifications

  • Ensuring the building, foundation, anchoring, and support systems meet all applicable code requirements for the equipment's size, weight, and use

  • Any modifications to the structure, foundation, or anchoring required to meet those standards

California Pulse makes no representations regarding the suitability of its equipment for any specific seismic zone, wind exposure category, or structural load condition. Costs associated with seismic or structural engineering, permits, inspections, or required modifications are entirely the customer's responsibility.

5.5 Roof and Wall Penetrations

The customer shall complete all necessary roof and wall penetrations for ductwork. This includes curbing, flashing, weatherproofing, and any required structural steel supports. All penetrations must be sized per approved drawings, code-compliant, sealed, and completed prior to commissioning.

5.6 Ductwork

Unless explicitly included in the installer scope, the customer is responsible for all external ductwork including intake, exhaust, and recirculation ducting, along with all supports, hangers, bracing, and any required fire or backdraft dampers. Final duct connections must be completed prior to commissioning.

5.7 Fire Protection & Safety

The customer shall provide and coordinate all required fire protection systems, including fire suppression (Amerex, Ansul, or equivalent if required), fire alarm interlocks, emergency stops, and final approval with the fire marshal. If California Pulse is contracted to provide the fire suppression system, the customer is still responsible for hiring a local authority to arm the system.

5.8 Site Readiness & Access

The customer must ensure:

  • Clear and unobstructed access for delivery trucks, forklifts, and cranes

  • A clean and prepared indoor installation area with adequate lighting

  • Forklifts, cranes, rigging, and qualified operators if not included in the installer's scope

  • Weatherproof storage and security of equipment at the job site

  • Removal of all debris, crates, and garbage

5.9 Scheduling & Coordination

The customer must notify the installer when utilities are complete, duct penetrations are finished, and the site is inspection-ready. Delays caused by incomplete site preparation may require rescheduling and may result in additional charges for labor, travel, or remobilization, which shall be the customer's responsibility.

6. Additional Exclusions

The following items are not included in any California Pulse proposal or contract unless specifically and explicitly stated in writing:

  • Any and all installation services

  • Heater start-up and commissioning services

  • On-location training of personnel

  • Freight costs including packing, crating, shipment, and unloading

  • Unloading of equipment from freight carriers — not all equipment may be crated or palletized

  • Touch-up painting of equipment

  • Fire suppression system

  • Supply of additional safety-related equipment not specifically mentioned in the proposal

  • Seismic, load bearing, or wind load calculations or certifications of any kind

7. Online Sales Terms

The following terms apply specifically to purchases made through the California Pulse website at www.californiapulse.com.

Age Requirement: By placing an order through the website you affirm that you are at least 18 years of age and of legal age to enter into an e-commerce transaction.

Order Acceptance: Submission of an order through the website is an offer to purchase. California Pulse will send an acknowledgment email upon receipt. California Pulse's acceptance of your order takes place when the products are shipped. California Pulse reserves the right to reject any order.

Product Information: California Pulse strives to display accurate product descriptions, pricing, and availability. Inadvertent errors or omissions may occur. California Pulse reserves the right to correct any such errors and to cancel orders arising from them.

Force Majeure: California Pulse will not be liable for any failure to perform resulting from causes beyond its reasonable control, including acts of God, government actions, fire, flood, earthquake, severe weather, epidemic, pandemic, strikes, embargoes, riots, armed conflict, terrorism, war, or inability to obtain materials or components.

Training and Compliance: For each product purchased, the customer assumes full responsibility for proper installation, operation, use, and maintenance in accordance with all written instructions provided by California Pulse and all applicable laws and regulations.

8. Warranties and Disclaimers

Limited Warranty: Specific limited warranties related to products purchased from California Pulse are set forth in the applicable product documentation. Unless otherwise specified, California Pulse disclaims all warranties except those expressly provided by the manufacturer.

Disclaimer: Except as otherwise provided in these Terms, all products are subject only to any applicable warranties provided by their respective manufacturers. To the fullest extent permitted by applicable law, California Pulse disclaims all warranties of any kind, either express or implied, statutory or at common law, including without limitation any implied warranty of merchantability or fitness for a particular purpose.

9. Limitation of Liability

To the fullest extent permitted by applicable law, California Pulse shall not be liable for any incidental, consequential, special, or indirect damages, loss of profits, loss of revenues, or loss of use arising out of or related to any purchase or use of its products, even if informed of the possibility of such damages.

California Pulse's entire liability for damages arising out of or related to any product purchase is limited to the amount actually paid by the customer for the specific product giving rise to the claim.

10. Intellectual Property

The California Pulse website and its contents, including but not limited to California Pulse's name and logo, design, text, information, images, video, and audio, are owned by California Pulse and are protected by copyright, trademark, and other applicable laws. You may not display, copy, reproduce, modify, publish, upload, download, post, transmit, or distribute any California Pulse intellectual property without prior written permission.

11. Indemnification

Customer agrees to defend, indemnify, and hold California Pulse harmless from and against any and all claims, damages, costs, and expenses, including attorney's fees, arising out of Customer's breach of these Terms or Customer's negligent or intentional acts or omissions in connection with any purchase or use of California Pulse products or website.

12. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid by any court of competent jurisdiction, the validity and enforceability of the remaining provisions will not be affected.

California Pulse's failure to enforce any provision of these Terms will not waive that provision or affect California Pulse's right to enforce it in the future.

14. Record Keeping and Version Control

California Pulse maintains a documented record of all versions of these Terms and Conditions, including the date each version became effective. Each version is assigned a "Last Updated" date displayed at the top of this page and is archived through the Internet Archive Wayback Machine (web.archive.org), which creates timestamped public snapshots of this page at regular intervals.

In the event of any dispute regarding the terms applicable to a specific transaction, California Pulse will reference the archived version of this page corresponding to the date of the applicable invoice or purchase order. Archived snapshots are publicly accessible and verifiable at:

By submitting payment against any California Pulse invoice or purchase order, Buyer acknowledges that the version of these Terms and Conditions in effect on the date of that invoice or purchase order governs the transaction, and that such version is documented and retrievable through the above archive record.

California Pulse also retains dated PDF records of each version of these Terms internally. Copies of any prior version may be requested by contacting Operations@californiapulse.com.
